Job Description:We are seeking a highly skilled and detail-oriented Company Secretary to join our team. TheCompany Secretary will be responsible for ensuring compliance with various regulatoryrequirements, including those stipulated by the Companies Act and the Reserve Bank ofIndia (RBI). Additionally, the Company Secretary will oversee the vetting and record-keepingof legal documents and corporate contracts, aid in the preparation of financial reports, andassist in the preparation of the annual report. Responsibilities: Compliance with Companies Act Requirements: Ensure adherence to all requirements outlined in the Companies Act. Manage and oversee all filings with the Registrar of Companies (ROC) as perstatutory timelines. Stay updated on amendments and changes to the Companies Act and implementnecessary adjustments to ensure compliance.Compliance with RBI Regulations: Maintain thorough understanding of RBI regulations applicable to the company'soperations. Ensure timely filing of necessary reports and documentation as per RBI guidelines. Collaborate with relevant stakeholders to address any regulatory concerns or queriesfrom the RBI. Vetting and Record-keeping of Legal Documents: Review and vet legal documents and corporate contracts to ensure compliance withapplicable laws and regulations. Maintain an organized record-keeping system for all legal documents and contracts. Liaise with legal counsel and external parties as needed to finalize agreements andcontracts. Aid in Preparation of Financial Reports: Assist in the preparation of financial reports in accordance with disclosurerequirements. Coordinate with finance and accounting teams to gather necessary data andinformation for reporting purposes. Ensure accuracy and completeness of financial disclosures in compliance withregulatory standards. Preparation of Annual Report: Play a key role in the preparation of the companys annual report. Coordinate with various departments to compile relevant information and data forinclusion in the annual report. Ensure that the annual report complies with regulatory requirements and accuratelyreflects the companys financial and operational performance.
